The Soulprint Experiment Membership 1. Introduction 1.1. These terms and conditions, here on to referred to as “Terms” apply to the Soulprint Experiment Membership, here on to referred to as “The Membership” that is operated by Tetz Agustin (“We,” “Us”, “Our”) and “you”, the person who is applying to join The Membership. 1.2. These Terms, along with the Privacy and Terms of Use found in our “Website” found at www.tetzagustin.com, represent the entire agreement between us and apply to the exclusion of any other terms or any previous course of dealing. 2. The Soulprint Experiment Membership 2.1 The Membership is a monthly membership for soul-centered beings who want to understand themselves on a soul-level without the B.S. and learn how to leverage that understanding to improve their relationships, scale their business and amplify their well-being to achieve soul-based success by being in flow with who they uniquely are. 2.2 The Membership is a fully online service. You will need access to the online membership portal (Systeme) and Telegram to fully access this Service. You are responsible for making sure that you have what you need to access both systems and we shall not be liable to you in the event that you are unable to access any part of the Membership. You will be required to set-up an account with these systems. It shall be your responsibility to provide correct information to create your account and to keep your password or other information necessary to access your account privately, safely and securely. It is your responsibility to let us know if you suspect a third-party accessing your account as soon as possible. 2.3 That said, we shall make sure that The Membership will be accessible to you at all times, but are also not liable where access is temporarily restricted or limited due to routine or unexpected maintenance or if there is an issue with a third-party system which is outside our control. If this happens, we will make sure to notify you by email. 2.4 In the event that an unforeseen or unexpected event arises which continues for a period of more than 30 days, then either of us will be entitled to terminate or cancel this Agreement by providing the other with 14 days’ notice in writing. This does not affect any other right to terminate as set out within these Terms and any relevant pro-rated refund will be at our discretion. 2.5 It is our discretion to change the content delivery of The Membership at any time ensuring a smooth transition in between systems, should the need arise. Rest assured that if this is done, it will be only be as a means of upgrading and providing you with a better customer experience. 2.6 A legally-binding agreement between us is formed when: You place your order and send payment. We will then be sending you an acknowledgement email confirming your order and payment. Our legally-binding agreement begins upon sending of this acknowledgement email. 2.7 In some circumstances it may be necessary for us to make amendments, revisions or changes to The Membership and the Services, or cancel, amend, change or reschedule any part as is reasonably required. If we do need to make any changes then we will ensure that the Services still match the original description as detailed on our Website, except where a change enhances the original description. We shall not be liable for any reasonable changes that are made to The Membership. 3. Your Obligations 3.1 When you join The Membership, you are confirming that you are over 18 years old, that you are legally capable of entering into a legally binding agreement and that all information you provide to us is true and accurate. You also accept that your access to The Membership is yours only and should not be shared with anyone else. 3.2 You agree that when you access The Membership including any private areas or groups (whether or not password protected) that you will not take any action which seeks to disable or in any way interfere with any of our systems or processes or which tests or seeks to test the vulnerability of any of our systems or processes. You agree to indemnify and hold us harmless for any action taken against us due to your violation or disregard of any of these Terms and/or your use of or access to The Membership in any way. 3.3 You agree that your access to The Membership is non-transferable to any other person at any time. 3.4 You agree to participate in Groups and Sessions whenever possible. This is the only way for you to maximize The Membership. 4. Groups and Sessions 4.1 As part of the Services included in The Membership, you will get access to interactive group calls, masterclasses and other virtual sessions here on referred to as “Sessions.” If you are unable to attend a Session, for whatever reason, then you understand that you will forfeit your right to that Session. No refunds will be provided for any missed Sessions but rest assured that we will be recording any live sessions for uploading into The Membership portal but will not be liable for any unforeseen circumstances such as but not limited to power outages, equipment malfunction and the like. Where we need to reschedule a Session then we will make all reasonable attempts to provide as much notice as possible. 4.2 It is really important to us to ensure that The Membership is a safe space for everyone and therefore we ask you to agree to conduct yourself in a reasonable and responsible manner at all times when attending any Sessions or accessing any community areas or private groups here on referred to as “Groups” and not to act in a manner which may cause offense, distress or alarm to anyone else within The Membership here on referred to as “Other Members.” 4.3 During any Sessions and Groups you agree: a) not to use them for anything unlawful; b) not to record, capture or share any images of Other Members without their explicit permission; c) not to share information whether expressed to be confidential or not, that is shared by Other Members; and not to act or behave dishonestly, fraudulently, or in a way which we reasonably consider may have a detrimental effect on our business or reputation 4.4 If we consider you in breach of any of the above clauses, then we reserve the right to withdraw your access to The Membership, including all Sessions and Groups. Following such action, we will arrange a meeting with you to discuss the matter and to determine whether your access will be removed permanently. Where we decide to withdraw access permanently then our arrangement will terminate and no refunds will be provided. 4.5 If you become aware of any inappropriate behavior, comments, or content being shown or displayed within any Sessions or Groups, or during the delivery of any aspect of the Services then please notify us as soon as possible. We want you to be happy and satisfied with The Membership, please email us at connect@tetzagustin.com for any concerns or complaints. 5. Pricing Plans 5.1 You can join The Membership on a Monthly Plan or a Monthly VIP Plan. The Monthly VIP Plan which with a bonus single 1:1 online Coaching Session with Tetz Agustin. 5.2 The relevant payment amount for joining The Membership is as set out on our Website here on referred to as “the Fee” along with the applicable payment methods. If you join The Membership on a monthly basis the Fee will be payable on a recurring monthly basis and you consent to us taking those payments automatically without further notice from you as and when they fall due until such time as this agreement is terminated in accordance with these Terms. 5.3. We reserve the right to make changes to the Fee at any time by providing you with at least 60 days’ notice in writing. Founding Members (Members who joined as of April 2021 and upgraded to a paid plan as of May 2021) will only have access to Founding Member pricing as long as they are a member of The Membership. If the member decides to cancel their monthly plan and then decide later on to join again, the member will be joining following the current Fee for The Membership. 5.4 If you join The Membership on a monthly payment basis then your membership period is 1 month hereon referred to as “Monthly Membership Period” beginning on the day after your monthly membership Fee is paid and it will continue on a rolling monthly basis until you provide us with notice of cancellation in accordance with clause 5.5, or our agreement is otherwise terminated in accordance with these Terms. 5.5 You shall have the right to cancel your membership of The Membership at any time by providing us with a minimum of 15 days’ notice prior to the end of your Monthly Membership Period by email to connect@tetzagustin.com. If you cancel your Membership, you will be responsible for cancelling any automated or recurring payments in respect of the Fee. There will be no refunds provided upon cancellation your membership. 5.6 We reserve the right to terminate your access to The Membership where we deem it necessary for the safety, protection and benefit of Other Members or where we have another business reason to do so. In the event such a situation arises we do not need to provide you with any details or reason for our decision and any refund will be pro-rated and considered at our absolute discretion. 6. Intellectual Property 6.1 As part of The Membership you may have access to materials, resources, information, templates, data and other content here on referred to as “Content”. You accept that we are the owner or licensee of all Intellectual Property Rights and any other rights existing in the Content and that the Content can only be used for your personal use in connection with your access to and use of The Membership and no Content should be shared, copied, disclosed, reproduced, published or made available to a third party whether or not for commercial reasons without our express consent. Nothing in these Terms operates to transfer ownership of any Intellectual Property Rights in any Content to you and you may not use any of our Intellectual Property Rights including but not limited to our trade marks, business names, domain names and any logos without our prior written consent. 7. General 7.1 Where we deem it necessary to vary or modify these Terms (other than any Fee) then we shall notify you of any changes by email and your continued use of The Membership will be deemed as your acceptance of any changes.
